EXOS is looking for a flexible, detail-oriented and motivated Corporate Junior Associate Attorney to support our growing legal needs domestically and internationally. You will report directly to the Associate General Counsel and will assist on a broad range of legal matters relating to all aspects of EXOS’ business, focusing on contracts, HIPAA, SaaS Software, corporate compliance, corporate governance and related legal matters. This position will also work directly with other teams within the company on various legal matters, including Finance, Accounting, Information Technology, People Operations, Marketing, Products, Privacy & Information Security and Account Management. EXOS is a fast-paced, rapidly evolving company and the position requires an individual who is creative and who enjoys a challenge.
Provide support to business partners and hold them accountable in order to ensure contract obligations are met.
Provide support regarding contract interpretation and guidance.
Provide strategic and practical advice to internal clients regarding regulation, risk assessment and general corporate diligence.
Provide support, as needed, for litigation matters.
Work with other departments to develop better systems, communication and synergy.
Demonstrate leadership skills with the ability to motivate team members.
Draft and negotiate contracts with third parties (master service agreements, professional services agreements, NDAs, outsourcing agreements, technology services agreements, systems implementation agreements, hosting agreements, software as a service agreements) as well as a wide range of other routine and mission-critical contracts.
Corporate Counsel will be expected to develop a general knowledge of the law typically encountered in respect of digital products and services, HIPAA, and data security.
J.D. degree and bar membership in good standing in New Jersey; dual certification in New York is a bonus.
Minimum of 2 years of consistent legal practice
Skills and Attitude:
2+ years experience with transactional legal work.
2+ years of corporate legal work.
Experience with HIPAA compliance and data security/privacy preferred.
Proficiency with Microsoft Office Suite and Google Suite is required.
Must have a high degree of personal accountability.
Must have a track record of taking initiative and problem-solving.
Must have excellent written and verbal communication skills.
Must be able to thrive in a dynamic work environment and have a positive attitude.
Must have strong organizational and time management skills, and must be able to balance numerous tasks and projects at the same time.
Must be flexible and able to respond to challenges with creativity.
Must demonstrate well-rounded business acumen, strong legal judgment, and a commitment to work ethic, while maintain a sense of humor.
The candidate must have excellent interpersonal skills and the ability to work effectively with non-lawyers.
Candidate must demonstrate the ability to address business concerns and details in a legal framework.
Ability to work proactively, independently and reliably under tight time frames in a fast-paced environment.
